Full Job Description

  • Assist with the identification and enhancement of the governance processes, controls and ways of working within the secretariat team and review and where necessary draft BAE Systems subsidiary management policies and frameworks
  • Support senior internal stakeholders with company secretarial matters, including governance best practice initiatives
  • Day to day and project support on corporate authorities planning, overseeing projects or initiatives regarding subsidiaries such as the legal entity management system
  • Organise and conduct subsidiary board meetings (where necessary) including drafting suitable proposals, producing minutes and communicating decisions to all those concerned with implementation /observance
  • Corporate Governance
  • Assist on the provision of day to day corporate matters related to plc, when needed
  • Draft briefing materials on proposed changes to the governance and regulatory landscape
  • Support with ensuring that the department keeps pace with developing and emerging best practice, new legislation, regulatory and corporate governance developments
  • Support the team in delivering corporate governance projects including Director Induction programmes and governance related training
  • General Matters
  • Assisting colleagues with re-calibrating and reallocating workload as priorities change
  • Counsel Directors and other Corporate Secretariat team members on corporate governance regulations and practice and appropriate Group policies and procedures and the interpretation of Articles of Association and implementation of corporate procedures
  • Advise on Company Law affecting preparation of statutory accounts and reviewing Directors' Reports and Accounts for compliance and accuracy, This role sits within our Head Office Legal function reporting into the Senior Assistant Company Secretary. You will be supporting various BAE Systems key stakeholders up to board level, in a role where every day is different!

    Chartered Governance Institute (CGI or equivalent) qualified with proven post-qualification experience in a corporate secretariat function (experience working with a plc is an advantage)
  • Thorough knowledge of Companies Act 2006 and all ancillary regulations along with company secretarial practices and procedures
  • In-depth understanding of relevant regulations, including Disclosure Guidance & Transparency Rules, Listed Rules, UK Governance Code, EU Market Abuse Regulation and Shareholder Rights Directive would be beneficial
  • Good knowledge of Blueprint/GEMS and Microsoft Office
  • Ability to think strategically and commercially, whilst balancing business needs and constraints, The role offers a broad range of company secretarial duties and provides the opportunity to help evolve ways of working across the team.
