About the Role
Are you an organised and detail-oriented paralegal with a passion for corporate law? We are looking for a Paralegal to join our Corporate and Commercial team, based in Edinburgh or Glasgow. This role offers a unique opportunity to support a dynamic team in managing the firm's company secretarial services, ensuring that compliance and statutory obligations are met with precision and professionalism.

 

What You’ll Do:
In this role, you will:

  • Oversee the firm’s company secretarial program, handling daily requirements and acting as the primary point of contact for company secretarial clients.
  • Maintain statutory registers and update company books, both in hard copy and digital formats.
  • Prepare and lodge Companies House filings, including confirmation statements, director appointments, resignations, and share allotment forms.
  • Handle the incorporation of new companies and provide expert guidance on formation processes.
  • Draft directors’ and members’ board minutes and resolutions, ensuring accuracy and compliance.
  • Maintain databases to track filing deadlines and manage client information to ensure data is current and complete.
  • Conduct research and prepare company profile reports using statutory documents from Companies House.
  • Collaborate with third parties and stakeholders, representing the firm with professionalism through email, phone, or in-person interactions.
  • Support the team with client onboarding, ensuring all anti-money laundering requirements are met.
  • Assist in drafting monthly and annual fee notes and follow up on payment processes to ensure timely completion.

 

What We’re Looking For
The ideal candidate will possess:

  • A solid understanding of the Companies Act 2006 and familiarity with statutory filing requirements.
  • Strong organisational skills with an eye for detail, capable of managing multiple projects and tight deadlines.
  • Excellent written and verbal communication skills, with the ability to interact confidently at all levels.
  • A proactive approach to work, using initiative to solve problems and maintain high standards.
  • A team player mindset, balanced with the ability to work independently when needed.
  • A commitment to professional growth, staying current on new company legislation.
  • Experience with Microsoft applications and familiarity with tools like Diligent Entities, iManage, and Aderant is an advantage.
