About the Role:
We are seeking a motivated and experienced Corporate Lawyer to join our dynamic team. In this role, you’ll have the opportunity to work on high-profile M&A transactions, private equity deals, joint ventures, and AIM and capital markets transactions. You will be integral to providing clients with strategic advice on complex corporate structures, partnerships, and reorganisations. You will have the chance to work closely with specialists across our tax, real estate, employment, and banking teams, ensuring our clients receive a seamless, integrated service.

This position also involves playing a key role in the growth of the firm by building strong client relationships and contributing to our business development activities. If you thrive in a fast-paced environment and are eager to take on new challenges, this is the perfect role for you.

Key Responsibilities:

• Advise clients on a broad spectrum of corporate matters, including M&A transactions, private equity investments, joint ventures, and corporate reorganisations.
• Provide guidance on governance issues such as director conflicts, board composition, trading issues, and shareholder relations.
• Assist with partnership and LLP matters, including advising on Scottish Limited Partnerships.
• Manage and oversee complex transactions, ensuring smooth project management and coordination with other teams as required.
• Draft and negotiate investment agreements, shareholder agreements, and other key documentation.
• Provide corporate support to other practice areas within the firm.
• Maintain high standards of information security, safeguarding client data and sensitive information.

About You:

• Experience handling complex and challenging corporate matters, with the ability to manage your own caseload effectively.
• Proven expertise in drafting and providing client-focused, practical advice.
• Strong understanding of client needs, building long-term relationships through regular communication and tailored advice.
• Active in business development activities, contributing to the strategic growth of the practice.
• Excellent communicator, with a confident, clear, and commercially astute approach.
• Able to work efficiently under pressure, meeting tight deadlines while maintaining high standards of quality.
• Committed to staying updated on legal developments in the corporate field, with a focus on delivering innovative solutions.
